Terms & Conditions - Wholesale Purchases

These wholesale terms and conditions (“Agreement”) govern the business relationship between Blue Bower Art Studio (“Seller”) and the wholesale purchaser (“Buyer”) for the purchase of products (“Products”). By placing an order with Seller, the Buyer agrees to be bound by the terms and conditions stated below:

1. Minimum Order Requirement:
   
   a. The minimum order value is set at $200 unless otherwise negotiated and agreed upon by both Seller and Buyer. This minimum order requirement ensures efficient order processing and cost-effective handling.

2. Ordering Process:
   
   a. A Buyer shall submit orders in writing via email, via the Wholesale Portal of https://bluebowerart.com or any other mutually agreed-upon method. The order should include the desired quantities, SKU (if applicable) and specific details of the Products.
   
   b. Customised products are achievable and should be discussed with the Seller prior to ordering

3. Pricing and Payment:
   
   a. Due to the handmade nature of the Products, no products will be created or collated until full payment is received unless negotiated otherwise between the Buyer and Seller in writing.
   
   Blue Bower Art Studio is not registered for GST, therefore;
   
   b. The prices of the Products are stated in the invoice or online portal provided by the Seller and are exclusive of any applicable taxes.
   
   c. the Buyer shall make payments in the currency specified on the invoice.
   
   d. Payment can be made via direct bank deposit (fee free) or card payment. A 2.5% fee will be applied to card payments to cover transaction charges.
   
   e. Goods will only be dispatched upon receipt of full payment.

4. Postage and Shipping:
   
   a. Postage and shipping costs are not included in the prices of the Products and shall be borne by the Buyer. The exact postage charges will be calculated and added to the invoice.
   
   b. the Seller will endeavour to use reliable and cost-effective shipping methods. Any specific shipping requirements should be communicated by the Buyer at the time of order placement.

5. Delivery and Lead Times:
   
   a. the Seller will strive to process and dispatch orders promptly. However, exact lead times may vary depending on the volume of orders and the availability of Products. No processing of an order will commence until full payment is received (see point 3a.).
   
   b. the Buyer shall be notified of any potential delays and provided with estimated delivery times.
   
   c. the Seller will not be liable for any damages or losses arising from delayed or failed deliveries caused by unforeseen circumstances or events beyond Seller’s control.

6. Returns and Exchanges:
   
   a. The Seller aims to ensure customer satisfaction. If any Products are received damaged or faulty, the Buyer must notify the Seller within five (5) days of delivery to arrange for an exchange or refund.
   
   b. Refunds for change of mind on purchases are not accepted.
   
   c. Returns for refund will only be accepted on non-customised products, or products still offered for sale by Blue Bower Art Studio.
   
   d. Products must be received by the Buyer before a decision regarding exchange or refund is made and processed.
   
   e. The Buyer will bore the full cost of postage for exchanges and refunds.
   
   f. Refunds will only be accepted if the Products are unused, in their original condition, and accompanied by the original invoice.

7. Intellectual Property:
   
   a. All intellectual property rights, including copyrights, trademarks, and designs, associated with the Products remain the property of the Seller.
   
   b. The Buyer shall not reproduce, modify, distribute, or sell the Products or any derivative works without obtaining prior written consent from the Seller.

8. Confidentiality:
   
   a. Both Seller and Buyer shall keep confidential any proprietary or confidential information disclosed during the course of their business relationship.

9. Governing Law and Jurisdiction:
   
   a. This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Australia.

10. Entire Agreement:
    
    a. This Agreement constitutes the entire agreement between Seller and Buyer and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter herein.

By placing an order with Seller, the Buyer acknowledges having read, understood, and agreed to abide by these wholesale terms and conditions.
